Golden Ocean Group Ltd ("GOGL") will receive all management services required by it from its wholly owned subsidiary, Golden Ocean Management.

During the spring of 2005 Golden Ocean Management built up its own commercial team with considerable experience from dry cargo chartering (physical and financial) and management. The team will utilize all available instruments in the dry bulk market to maximize profits for its shareholders.

Golden Ocean Management AS has in turn contracted various services from Frontline Management (Bermuda) Ltd. which includes technical management.

Frontline Management has a strategy of extensive outsourcing. Ship management, crewing and accounting services are provided by a number of independent and competing ship management companies.

Golden Ocean Management AS has also entered into an administrative services agreement with Frontline Management under which Frontline Management provides Golden Ocean with administrative support services.
